Results Of Annual General Meeting And Extraordinary General Meeting

The Board of Directors of Mencast Holdings Ltd. (the "Company") is pleased to announce that:

1. At the Annual General Meeting ("AGM") of the Company held on 24 April 2012, all resolutions relating to matters as set out in the Notice of AGM dated 9 April 2012 were duly passed.

2. At the Extraordinary General Meeting ("EGM") of the Company held on 24 April 2012, all resolutions relating to matters as set out in the Notice of EGM dated 9 April 2012 were duly passed.
